How to Create an IPO Roadshow Presentation
The IPO roadshow deck is the most high-stakes presentation a company will ever create. In two to three weeks, the management team will deliver this presentation dozens of times to institutional investors — mutual funds, hedge funds, pension funds — who are deciding whether to participate in the offering. The deck, in combination with the prospectus (S-1), must make a compelling case for why the company is worth the price per share at which the offering is being priced.
The Relationship Between the Roadshow Deck and the S-1
The S-1 prospectus filed with the SEC is the legal document. The roadshow deck is the narrative companion — it tells the story, while the S-1 contains the disclosures. Every material claim in the roadshow deck must be consistent with the S-1. The underwriting banks and securities counsel review every slide before it is shown to investors.
Structure of the IPO Roadshow Presentation
Slide 1: Investment highlights. The opening slide should state three to five reasons this is a compelling investment. These are not features — they are investment theses: large and growing market, durable competitive moats, high-quality recurring revenue, demonstrated ability to expand within existing customers, and proven management team. This slide sets the frame for everything that follows.
Slide 2: Company overview. Mission, founding story (brief), current scale, and key market position. Where do you operate, what do you sell, and who buys it? Make this concrete and specific.
Slide 3: Market opportunity. Total addressable market with a credible bottom-up calculation. Public market investors are sophisticated — a top-down "$50B market" slide without methodology is not credible. Show how you calculated the TAM and why it is defensible.
Slide 4: The problem and your solution. Why existing solutions are inadequate and what you have built differently. Use customer evidence — logos, quotes, case studies — to validate the problem and the effectiveness of your solution.
Slide 5: Product. How the product works and why it is defensible. Include screenshots, product architecture if relevant, and key product differentiators. Highlight any proprietary technology, data network effects, or switching costs.
Slide 6: Business model. Revenue model, pricing structure, and gross margin profile. Institutional investors want to understand how you make money and how the economics improve at scale.
Slide 7: Financial highlights. Revenue growth over the last three to five years, gross margin trajectory, operating leverage, and the path to profitability. Public market investors evaluate companies on Rule of 40 (growth rate plus free cash flow margin), net revenue retention, and gross margin. Present these clearly.
Slide 8: Go-to-market. How you acquire customers, your sales motion, marketing channels, and partner ecosystem. Show efficiency metrics: CAC, payback period, and LTV/CAC ratio.
Slide 9: Customer evidence. Representative customer logos, net revenue retention, customer count growth, and one or two deep customer case studies that illustrate the value proposition and expansion potential.
Slide 10: Competitive positioning. Where you sit in the market, why you win, and why your position is durable. Avoid generic 2x2 matrices. Show specific technical or operational advantages.
Slide 11: Management team. Executive biographies with prior company experience and specific domain expertise. Include board members and advisors who add credibility.
Slide 12: Financial model and projections. Three-year forward projections with key assumptions. Revenue, gross profit, operating expenses, and free cash flow. Include the management's targets for key operating metrics.
Slide 13: Use of proceeds. How you will deploy the IPO capital and what it will enable. Be specific.
Delivery Considerations
The roadshow is 25 meetings in 10 days. The deck must be memorized, not read. Investors ask the same questions — practice until the answers are second nature. The CEO leads the investment thesis and vision. The CFO handles financial questions. Know in advance who answers what.
